Business Registration Support in Sri Lanka

Starting a business is exciting, but completing the registration process can be confusing. Professional business registration support in Sri Lanka helps you select the right structure, prepare the necessary documents and complete each step correctly.

Finzdox Accounting supports entrepreneurs, investors and growing businesses through company incorporation and the initial compliance process.

Why register your business?

Registering your business creates a formal foundation for its operations. Depending on the structure selected, registration may help you:

  • Operate under an approved business name
  • Open a business bank account
  • Enter contracts under the business or company name
  • Register for relevant taxes
  • Employ staff and meet statutory obligations
  • Build credibility with customers, suppliers and investors

A registered company must also continue meeting its legal, tax and reporting responsibilities after incorporation.

Choosing a business structure

Before submitting an application, you need to choose a suitable legal structure. Common options in Sri Lanka include:

  • Sole proprietorship
  • Partnership
  • Private limited company
  • Public company
  • Company limited by guarantee
  • Overseas or foreign company

The right option depends on the number of owners, liability exposure, investment plans, tax considerations and long-term goals.

For example, a sole proprietorship may be suitable for a small owner-operated business. A private limited company may offer a more structured option for businesses planning to add shareholders, raise capital or expand.

How to register a company

Private limited companies are incorporated through the Department of the Registrar of Companies and its eROC platform. The process generally involves the following steps.

Reserve the company name

The proposed name must be checked and submitted for approval through eROC. Name approval should be obtained before proceeding with the incorporation application.

Selecting a distinctive name can reduce the risk of rejection or delays.

Appoint the required officers

A company must provide information about its directors, shareholders and company secretary. The individuals appointed must provide the required details and consent documents.

Prepare the incorporation documents

The main documents required for incorporating a private company include:

  • Form 01 – Application for incorporation
  • Form 18 – Consent of each director
  • Form 19 – Consent of the company secretary
  • Articles of Association

The Registrar of Companies requires applicants to use the forms generated through the eROC system for a new incorporation.

The Articles of Association establish important rules governing the company, including its internal administration and the rights and responsibilities of shareholders.

Submit the application

After the information is entered into eROC, the required forms must be signed and uploaded with the Articles of Association. The relevant incorporation payments are also completed through the online system.

The Registrar reviews the application before issuing the Certificate of Incorporation.

Submit beneficial ownership information

New companies using eROC must also submit their beneficial ownership and authorised-person details through the Registrar’s beneficial ownership portal. The required submissions include Form BO1 and Form BO5.

This step should not be overlooked because incomplete beneficial ownership information can cause the incorporation application to be returned for correction.

What happens after registration?

Receiving the Certificate of Incorporation is not the end of the setup process. A new business may also need to complete several post-registration tasks.

These may include:

  • Obtaining a Taxpayer Identification Number
  • Registering for applicable tax types
  • Opening a company bank account
  • Setting up bookkeeping and accounting records
  • Registering employees for EPF and ETF
  • Obtaining industry-specific licences or approvals
  • Maintaining statutory company records
  • Preparing annual returns and tax filings

A TIN is necessary when dealing with the Inland Revenue Department, including paying taxes and accessing tax-related services. Companies can apply through IRD e-services using incorporation records and supporting identification documents.

Why use professional registration support?

Small errors in a company name, address, director information or incorporation document can delay approval. Businesses may also complete the incorporation but overlook tax registration, beneficial ownership reporting or ongoing compliance.

Professional support can help you:

  • Choose an appropriate business structure
  • Check and reserve the proposed name
  • Prepare the required eROC documents
  • Draft or review the Articles of Association
  • Coordinate director and secretary information
  • Submit beneficial ownership details
  • Apply for the company TIN
  • Plan for accounting and tax compliance

Working with one provider for registration, accounting and tax can also make the transition from incorporation to active business operations more organised.
